1. Agreement to Terms

By accessing and using SellerShorts ("the platform"), you accept and agree to be bound by these terms and conditions. If you do not agree to abide by these terms, please do not use this service. These terms constitute a legally binding agreement between you and SellerShorts Inc., a Delaware corporation.

2. Definitions

• "AI Shorts" - Specialized AI automation agents, workflows, or tools created by users and available through our marketplace
• "Sellers/Creators" - Users who build, develop, and submit AI Shorts to our marketplace
• "Buyers" - Users who purchase, license, or use AI Shorts from our marketplace
• "Content" - All material, data, code, documentation, and information uploaded to or generated by the platform
• "Services" - All features, tools, functionality, and marketplace services provided by SellerShorts
• "Platform" - The SellerShorts website, mobile applications, APIs, and related services
• "User Generated Content" - Any content created, uploaded, or submitted by users to the platform

3. Eligibility and Account Registration

Eligibility Requirements

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. You represent and warrant that you are not located in a country that is subject to U.S. government embargo or that has been designated as a "terrorist supporting" country by the U.S. government.

Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Use of Services

Permitted Uses

You may use our services to:

• Browse, search, and purchase AI Shorts for legitimate business purposes
• Create, develop, and submit AI Shorts that provide value to other users
• Access your account dashboard and transaction history
• Use AI Shorts in accordance with their intended purpose and licensing terms

Prohibited Uses

You agree not to:

• Use the services for any illegal, unauthorized, or prohibited purpose
• Submit malicious, harmful, fraudulent, or deceptive AI Shorts
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Reverse engineer, decompile, or disassemble our platform or AI Shorts
• Spam, harass, abuse, or harm other users
• Violate any intellectual property rights of others
• Submit false, misleading, or inaccurate information
• Use AI Shorts to generate illegal, harmful, or offensive content
• Circumvent any security measures or access controls
• Interfere with or disrupt the platform's operation

5. AI Shorts Marketplace

Creator Responsibilities

As a creator, you:

• Warrant that your AI Shorts are original, functional, and do not infringe third-party rights
• Provide accurate, detailed descriptions and expected outcomes
• Ensure your AI Shorts comply with all applicable laws and regulations
• Grant us a non-exclusive license to host, distribute, and promote your AI Shorts
• Maintain, update, and provide support for your AI Shorts as needed
• Ensure your AI Shorts do not contain malicious code or security vulnerabilities
• Respect user privacy and data protection requirements
• Provide clear usage instructions and limitations

Review and Approval Process

All AI Shorts undergo a comprehensive review process before publication. We reserve the right to reject, suspend, or remove any submission that doesn't meet our quality standards, violates these terms, or poses security risks. The review process may include testing, security analysis, and compliance verification.

Buyer Responsibilities

As a buyer, you:

• Use AI Shorts only for their intended purposes and in accordance with licensing terms
• Provide accurate inputs and information when using AI Shorts
• Respect intellectual property rights in the outputs and content
• Report any issues, bugs, or problems promptly
• Comply with all applicable laws when using AI-generated content
• Ensure your use of AI Shorts does not violate third-party rights
• Maintain appropriate backups of your data and outputs

AI Content and Output Disclaimers

AI Shorts may generate content that is not accurate, appropriate, or suitable for all purposes. Users are responsible for reviewing, validating, and ensuring the appropriateness of all AI-generated outputs before use. We do not guarantee the accuracy, reliability, or suitability of AI-generated content.

AI Service Providers and Data Sharing

We provide AI Shorts through third-party AI service providers ("AI Service Providers") operated by our sellers. You acknowledge that your inputs, including Customer Data, will be shared with and processed by these AI Service Providers to enable your use of AI Shorts and to generate your requested outputs. Sellers may use external AI services (such as OpenAI, Anthropic, or other AI providers) that may use your data for training purposes or other business purposes consistent with their own terms and policies.

You may not use AI Shorts in a manner that violates any terms or policy of any AI Service Provider. We do not guarantee the availability of AI Shorts in any or all geographical areas and may make changes to AI Shorts that materially reduce functionality at any time in our sole discretion.

You acknowledge that AI-generated outputs may not be accurate or reliable and that you should independently review all outputs before using or sharing them. AI outputs are not treated as confidential information and may not be unique across users. You retain all rights to use and exploit AI-generated outputs for any lawful purpose, including commercial purposes, in accordance with these Terms.

6. Payments, Fees, and Financial Terms

Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy. We reserve the right to change payment methods or processors at any time.

Pricing and Fees

All prices are listed in U.S. dollars and are subject to applicable taxes. We may change prices at any time, but changes will not affect purchases already completed. Platform fees may apply to certain transactions.

Creator Revenue and Payouts

Sellers/Creators receive 70% of the net purchase price for their AI Shorts. Payments are processed regularly via Stripe Connect, subject to our payout policies, minimum thresholds, and applicable tax requirements. Sellers/Creators are responsible for their own tax obligations.

Refunds and Disputes

Refunds may be provided at our discretion for AI Shorts that fail to perform as described or have significant technical issues. Refund requests must be made within 7 days of purchase. Disputes between sellers and buyers will be resolved through our dispute resolution process.

How to Request Refunds:

Refund requests may be submitted by contacting our support team at deepak@sellershorts.com with your order number and reason for the request. All refund requests are reviewed on a case-by-case basis and may be approved or denied at our sole discretion. Approved refunds may take 5-7 business days to process.

7. Intellectual Property Rights

Platform Intellectual Property

SellerShorts and its original content, features, functionality, and technology are owned by SellerShorts Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our written consent.

User Content and AI Shorts

You retain ownership of your AI Shorts and user-generated content. By submitting content to our platform, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, store, and display your content on our platform
• Distribute and promote your AI Shorts to potential buyers
• Create backups and archives of your content
• Use your content for platform improvement and analytics
• Enforce these terms and protect our rights

AI Output Rights and Licensing

Buyers receive appropriate rights to use outputs generated by AI Shorts for their business purposes, subject to any limitations specified by the creator. The specific rights granted depend on the AI Short's licensing terms and may include commercial use, modification, and distribution rights.

DMCA and Copyright Protection

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed, please contact us with the required information for a DMCA takedown notice.

DMCA Notification Requirements

To be effective, your DMCA notification must include:

1. A physical or electronic signature of the copyright owner or authorized agent
2. Identification of the copyrighted work claimed to have been infringed
3. Identification of the material that is claimed to be infringing and location on our platform
4. Your contact information (address, telephone, email)
5. A statement that you have a good faith belief the use is not authorized
6. A statement that the information is accurate and you are authorized to act on behalf of the copyright owner

DMCA Process

Upon receipt of a valid DMCA notification, we will remove or disable access to the allegedly infringing material and notify the alleged infringer. If you receive a DMCA notice and believe it was sent in error, you may submit a counter-notification with your contact information and a statement under penalty of perjury that you have a good faith belief the material was removed by mistake.

8. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, which is incorporated into these terms by reference, explains how we collect, use, and protect your information. By using our services, you consent to our data practices as described in our Privacy Policy.

9. Disclaimers and Limitation of Liability

Service Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

• AI Shorts will meet your specific needs or produce particular results
• Our services will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, appropriate, or suitable
• Our platform will be free from viruses or other harmful components
• Any defects or errors will be corrected

AI-Specific Disclaimers

AI technology is evolving and may produce unexpected or inappropriate results. Users are responsible for reviewing and validating all AI-generated outputs. We disclaim any liability for AI-generated content that may be inaccurate, offensive, or harmful.

Limitation of Liability

To the fullest extent permitted by law, SellerShorts Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising from your use of our services or AI Shorts.

10. Indemnification

You agree to defend, indemnify, and hold harmless SellerShorts Inc., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Dispute Resolution

Internal Dispute Resolution

We encourage users to resolve disputes amicably through our customer support system at deepak@sellershorts.com. For disputes between sellers and buyers, we provide support through our revision system and direct communication channels. Most issues can be resolved through our revision process, which allows buyers to request one revision per order within 7 days of delivery.

Binding Arbitration

Any disputes arising from these terms or your use of our services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware, United States. You waive your right to participate in class action lawsuits or class-wide arbitration.

12. Termination

Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your access to the platform will cease, but certain provisions of these terms will survive termination.

Termination by Us

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including if you breach these terms, violate applicable laws, or engage in harmful activities. We may also terminate services with reasonable notice for business reasons.

Effect of Termination

Upon termination, your right to use the services will cease immediately. We may delete your account data in accordance with our Privacy Policy, but some information may be retained for legal or business purposes.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, internet outages, or third-party service failures.

14. Governing Law and Jurisdiction

These terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms will be brought exclusively in the courts of Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via platform notification at least 30 days before changes take effect. Your continued use of our services after changes take effect constitutes acceptance of the new terms. If you do not agree to the changes, you must stop using our services.

16. Severability

If any provision of these terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and SellerShorts Inc. regarding your use of our services and supersede all prior agreements and understandings.
